These rules gatekeep many private/exempt securities offerings to "qualified" investors only. CLARITY Act brings crypto regulatory clarity (CFTC vs SEC jurisdiction, etc.) but doesn't broadly remove those accreditation barriers for tokenized securities. So retail investors still get limited access despite the tech upgrade.
